In these Terms and Conditions, unless the context requires otherwise, the following terms shall have the meanings assigned below:

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access or security breach. NextSkillWave shall not be liable for any loss or damage arising from your failure to protect your account information.

Account sharing is strictly prohibited. Each account is intended for individual use only. We reserve the right to suspend or terminate accounts that violate this policy without prior notice.

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

All Content, features, and functionality on the Platform, including but not limited to text, graphics, logos, course materials, videos, software, and compilation thereof, are the exclusive property of NextSkillWave or its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

Your enrollment in courses grants you a limited, non-exclusive, non-transferable license to access and view Content solely for personal, non-commercial educational purposes. This license does not include any right to resell, redistribute, or create derivative works from the Content.

Any unauthorized use of Content may violate copyright laws, trademark laws, privacy and publicity laws, and other applicable regulations. Violations will result in immediate termination of your account and may subject you to civil and criminal penalties.

Certain Services require payment of fees. All fees are quoted in Canadian dollars unless otherwise specified. You agree to pay all applicable fees as described at the time of purchase.

Payment processing is handled by third-party payment processors. You agree to provide accurate and complete payment information. NextSkillWave is not responsible for any errors or issues arising from payment processor services.

Refund requests must be submitted within 14 days of course enrollment. Refunds are granted at our discretion and may be denied if significant course content has been accessed. All refund requests should be directed to [email protected] with relevant purchase information.

We reserve the right to modify pricing at any time. Price changes will not affect existing enrollments but will apply to future purchases.

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Platform, you consent to the collection and use of information as outlined in our Privacy Policy.

We implement appropriate technical and organizational measures to protect your personal data. However, no method of transmission over the internet is completely secure, and we cannot guarantee absolute security of your information.

You have the right to access, correct, or delete your personal information. Requests regarding your data should be sent to [email protected]. We will respond to such requests within 30 days in accordance with applicable Canadian privacy legislation.

THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEXTSKILLWAVE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components. We do not warrant the accuracy, completeness, or usefulness of any Content or that your use will achieve specific results.

Your use of the Platform is at your sole risk. Any material downloaded or obtained through the Platform is accessed at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data resulting from such downloads.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXTSKILLWAVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising from or related to the Platform shall not exceed the amount you paid to NextSkillWave in the twelve months preceding the claim, or one hundred Canadian dollars, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless NextSkillWave, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from:

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without notice or liability, for any reason, including but not limited to breach of these Terms.

You may terminate your account at any time by contacting [email protected]. Upon termination, your right to use the Platform will immediately cease, and you must discontinue all use of the Content.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in London, Ontario, Canada. You hereby consent to the personal jurisdiction and venue of such courts.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on the Platform with a revised effective date.

Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of such changes. We encourage you to review these Terms periodically to stay informed of any updates.

If you do not agree to the modified Terms, you must discontinue your use of the Platform. Your only remedy in the event of disagreement with any modifications is to terminate your account.
